These Terms of Service (“Terms”, “Terms of Service”) govern your use of our web pages located at aicado.ai operated by Kodsuz, Ltd. (“Aicado”, “Company”, “we”, “our”, “us”).

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, please do not use the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.

Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and emails related to services you use, along with other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing support@aicado.ai.

Purchases and Subscriptions

If you wish to purchase any product, service, or opt for a subscription made available through our Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and (ii) the information you supply to us is true, correct, and complete.

Our service offers both monthly subscriptions and credit packages. For subscriptions, you will be billed in advance on a recurring and periodic basis (“Billing Cycle”), set either on a monthly or annual basis, depending on the subscription plan you select. Please note that upgrading your subscription plan may provide credits at a reduced rate, while the price of credits in our standalone packages remains consistent.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your online account management page or by contacting our customer support team.

A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide us with accurate and complete billing information including full name, address, telephone number, and a valid payment method. By submitting such payment information, you automatically authorize us to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, we will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases and Subscriptions. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order or subscription at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We also reserve the right to refuse or cancel your order or subscription if fraud, an unauthorized or illegal transaction is suspected.

Fee Changes

We, at our sole discretion, may modify the fees for our Subscriptions at any time. Any changes to the Subscription fees will become effective at the end of the current Billing Cycle.

We will provide you with reasonable prior notice of any changes in Subscription fees to give you an opportunity to terminate your Subscription before the new fee structure takes effect.

Your continued use of our Service after the change in Subscription fees comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds

Please note that we do not offer refunds for our services. If you cancel your subscription within a billing month, you will not be charged in the next billing cycle. However, you will still have access to the service for the duration of the current billing period and can use any credits that were allocated to your account during this period.

Additionally, if you have purchased a separate credit package, you may continue to use the service until you have exhausted all the credits in your package. Once your credits are depleted, your access to the service will cease unless you renew your subscription or purchase additional credits.

Intellectual Property

Service and its original content, features, and functionality are and will remain the exclusive property of Aicado and its licensors. However, it is important to clarify that Aicado provides access to AI/ML models that are not its own creations but that are open-source models. While Aicado facilitates the use of these models through a no-code API environment, plugins (etc.) the intellectual property rights of the underlying AI/ML models remain with their respective open-source contributors.

Our Service is protected by copyright, trademark, and other laws of both the Turkey and foreign countries. The trademarks, service marks, and trade dress of Aicado may not be used in connection with any product or service without our prior written consent. In providing this Service, Aicado respects the intellectual property rights of others and expects its users to do the same.

Content and Output

Our Service enables you to post, link, store, share, and otherwise make available various types of information and materials, including text, graphics, videos, and other forms of content (“Content”). It is your responsibility to ensure that any Content you provide is legal, reliable, and appropriate.

When you post Content on or through our Service, you affirm that: (i) you own the Content or have the necessary rights to use it and grant us the rights and license as outlined in these Terms; and (ii) your Content does not infringe upon the privacy, publicity, copyright, or any other rights of any person or entity. We reserve the right to terminate accounts involved in copyright infringement.

You maintain ownership of your rights to any Content you submit, post, or display on or through our Service. It is your responsibility to protect these rights. We are not liable for any Content posted by you or any third party. By posting Content, you grant us the right to use, modify, perform, display, reproduce, and distribute this Content in connection with our Service. This includes allowing other Service users to access and use your Content under these Terms.

While Aicado has the right, we do not have an obligation, to monitor and edit Content provided by users.

Our Service may generate outputs based on the Content you provide (“Output”). Subject to your adherence to these Terms, we assign to you all rights, titles, and interests in the Output, including its commercial use, such as sale or publication. We may utilize your Content or Output to maintain our Service, comply with legal obligations, and enforce our policies.

You are responsible for the Content and the Output, including ensuring compliance with applicable laws and these Terms. Due to machine learning algorithms, similar Content provided by different users may result in similar or identical outputs. However, outputs generated for and requested by other users are distinct and are not considered as your “Output.”

Prohibited Uses

You are permitted to use our Service strictly for lawful purposes and in accordance with these Terms. The following uses of our Service are expressly prohibited:

1. Violating any national or international laws or regulations.
2. Exploiting, harming, or attempting to exploit or harm minors in any way, including through exposure to inappropriate content.
3. Transmitting or facilitating the transmission of any unsolicited advertising or promotional material, such as junk mail, spam, or chain letters.
4. Impersonating our Company, our employees, other users, or any other person or entity.
5. Engaging in activities that infringe upon the rights of others or are illegal, threatening, fraudulent, or harmful, or that are connected to any unlawful, illegal, fraudulent, or harmful purpose or activity.
6. Conduct that restricts or inhibits anyone’s use or enjoyment of our Service, or that, in our judgment, may harm or offend our Company or users of the Service or expose them to liability.

Additionally, you agree not to:

- Overburden, damage, or impair the Service, or interfere with anyone else's use of the Service, including their real-time activities.
- Use any automated means, such as robots, spiders, or similar devices, to access the Service for any purpose, including copying material from the Service.
- Use any manual process to monitor or copy material from the Service without prior written consent.
- Use any device, software, or routine that interferes with the Service's proper functioning.
- Introduce any viruses, trojan horses, worms, logic bombs, or other harmful or technologically damaging material.
- Attempt unauthorized access to, interfere with, damage, or disrupt any parts of the Service, its servers, or any connected server, computer, or database.
- Launch any form of denial-of-service attack against the Service.
- Engage in any action that may damage or falsify the Company’s rating.
- Attempt to interfere with the proper working of the Service in any other way.

Account Eligibility and Responsibilities

Our Service is intended for use only by individuals who are at least eighteen (18) years old. By accessing or using our Service, you confirm that you are at least eighteen (18) years of age and possess the full authority, right, and capacity to enter into this agreement and comply with all of the terms and conditions.

When creating an account, you must provide information that is accurate, complete, and current. Failure to do so may result in the immediate termination of your account. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account. It is your responsibility to notify us immediately of any unauthorized use of your account or any other breach of security.

You may not use a username that belongs to another person or entity, infringes upon the rights of others, or is offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Error Reporting and Feedback
You can provide feedback to support@aicado.ai about our Service. By doing so, you agree that: (i) you won’t claim any intellectual property rights in the Feedback; (ii) the Feedback may not be confidential; and (iii) Aicado can use the Feedback freely. If law doesn’t allow the transfer of Feedback ownership, you grant Aicado an exclusive, unlimited right to use the Feedback.

Our Service may contain links to third-party websites. Aicado is not responsible for their content, policies, or practices and doesn't endorse them. Your use of these links is at your own risk.

Disclaimer of Warranty
Our services are provided "as is" and "as available" without any warranties. Aicado disclaims all warranties, whether express or implied, including for merchantability and fitness for a particular purpose.

Limitation of Liability
Aicado is not liable for indirect or consequential damages arising from this Agreement or your use of our Service. Any liability we do have is limited to the amount paid for our products/services.

Termination
Aicado can terminate your account at any time for any reason. You can also discontinue using our Service at any time. Terms that should naturally survive termination will do so.

Governing Law
These Terms are governed by the laws of California, USA. They constitute the entire agreement between us regarding our Service.

Changes to Service and Terms
Aicado can change the Service or Terms at any time. Continued use after changes means acceptance of the new terms.

Waiver and Severability
No waiver of Terms by Aicado is a waiver of other terms. If any part of these Terms is held invalid, the rest remains in effect.

Acknowledgement
By using our Service, you acknowledge and agree to these Terms.
